Commitment to Implementing Corporate Governance

As a publicly listed entity on the Indonesia Stock Exchange (BEI) with a global reputation, MNC Group wholeheartedly commits to grounding every decision within the Company on the principles of Good Corporate Governance (GCG). The Company firmly believes that GCG implementation can amplify efficiency, effectiveness, and sustainability while providing ongoing value to shareholders, employees, and various stakeholders, both in the short and long run.

To establish effective governance, the Company adopts top-tier standards drawn from the Corporate Governance (CG) principles established by the National Committee on Governance (KNKG), encompassing Transparency, Accountability, Responsibility, Independence, and Fairness. The integration of digital technology throughout the Company's operations is also pivotal for informed decision-making processes and streamlined operations, ultimately facilitating efficient GCG.

GCG Structure

In executing GCG, PT MNC Asia Holding Tbk adheres to the Republic of Indonesia Law No. 40 of 2007 regarding Limited Liability Companies and its corresponding regulations, as well as the Republic of Indonesia Law No. 8 of 1995 regarding the Capital Market. Furthermore, the Company is subject to pertinent regulations, particularly those issued by the Financial Services Authority (OJK) and the Indonesia Stock Exchange.

The Company's guidance also stems from the adapted Articles of Association that align with the latest laws and regulations, in addition to internal policies such as the Company Regulations encompassing the Employee Code of Ethics and Behavior Policies, GCG Guidelines (GCG Manual), Work Code of Conduct, and the Code of Conduct for the Board of Directors and Commissioners (Board Charter), along with other internal policies pertaining to operations.

The aforementioned laws and guidelines form the bedrock for the Company's responsible, accurate, and measured management, aligning seamlessly with GCG principles. This alignment is visually represented in the diagram below.
